Terms of Service

1. The Service

OreCore is a business-to-business deal-workflow platform that helps a commodity broker and its invited counterparties discover prices, surface potential matches, and manage the lifecycle of a deal — from quote through payment, dispatch, delivery, closure, and commission invoicing. OreCore acts as a broker and facilitator. We are not a party to the underlying sale of goods, we do not hold or transfer your funds, and every match must be approved by the broker.

2. Eligibility & accounts

The Service is for businesses and authorised representatives invited by OreCore. You must provide accurate onboarding information and keep it current. New accounts may be limited to browsing until OreCore marks them as trusted. You are responsible for activity under your account and for keeping your sign-in credentials secure.

3. Payments are direct between parties

OreCore never holds your money. Advance and balance payments are made by bank transfer directly between the buyer and the seller. Within the Service you only record payment references (such as a UTR number), which the other party confirms. You are solely responsible for verifying payments and for the underlying transaction.

4. Commission & invoicing

Where a deal completes, OreCore charges brokerage commission as notified on the deal (by default ₹50 per Metric Tonne, plus applicable GST), billed to each party and itemised on a GST invoice. The commission rate and terms applicable to a deal are those snapshotted on that deal at the time it is created.

5. Your responsibilities

• Provide accurate quotes, quantities, specifications, and business details, and honour the deals you enter into.
• Comply with all applicable laws, including tax, GST, and trade regulations.
• Use the Service only for legitimate business purposes; do not attempt to disrupt, reverse-engineer, or gain unauthorised access to it.
• Respect the privacy of counterparties — counterparty identities shown to you are confidential and must not be misused.

6. Deal terms & the broker’s role

Each deal is also governed by the terms and conditions in force and snapshotted on that deal, which both parties accept within the Service. The broker reviews and secures deals (human-in-the-loop); the Service surfaces information but does not auto-execute trades on your behalf.

7. Notifications

You agree that OreCore may send you operational messages about your deals and account by WhatsApp and email. These are used for notifications only and are not the workflow surface — all actions are taken inside the Service.

8. Intellectual property

The Service, including its software, design, and content (excluding your business data), is owned by OreCore and protected by applicable law. We grant you a limited, non-exclusive, non-transferable right to use the Service for your business while these Terms are in effect.

9. Disclaimers & limitation of liability

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, OreCore disclaims all warranties and is not liable for the conduct of any counterparty, the quality or delivery of goods, or any indirect, incidental, or consequential loss arising from your use of the Service. Nothing in these Terms limits liability that cannot be excluded under applicable law.

10. Suspension & termination

We may suspend or terminate access to the Service if you breach these Terms or to protect the Service and its users. You may stop using the Service at any time; provisions that by their nature should survive termination will continue to apply.

11. Governing law

These Terms are governed by the laws of India, and the courts at Ludhiana, Punjab shall have exclusive jurisdiction, subject to any mandatory consumer protections.
